COMPENSATION COMMITTEE CHARTER

The functions of the Compensations Committee shall be assisting the Board in overseeing the management of the Company’s human resources in the following:

  1. Compensation and benefits program
  2. Chief Executive Officer performance and compensation
  3. Executive Development and succession and diversity efforts

In addition they will oversee the evaluation of management and compensation of the officers of the Company.

The Compensation Committee will prepare a report of the Committee on executive compensation.

The Committee will seek to offer executive officers competitive compensation packages that will permit the Company to attract and retain individuals with superior abilities and to motivate and reward such individuals in an appropriate manner in the long-term interests of the Company and its shareholders.
